At Aviva Investors, we believe that greater engagement by shareholders with Australian companies ultimately leads to better returns through improved corporate culture and performance.
As a fund manager committed to the best interests of our investors, we take an active role in the corporate governance of Australian companies.
Our Corporate Governance and Engagement Policy, implemented in 2002, ensures the interests of shareholders are represented to directors and the management of the companies in which we invest. The policy applies to all Australian equity holdings where we hold the power to vote under the scheme constitution, trust deed or investment management agreement.
Taking an active role in corporate governance means we vote on all resolutions where we retain the power to vote, not just those considered ‘contentious’ or ‘material’ – a distinction we believe can often be difficult to make.
In essence, we look for confirmation that companies are striving to meet the ‘spirit’ of good governance. While we apply our policy equally across all companies using a consistent process, we measure each issue on a case-by-case basis to arrive at our decision.
